Please read this License Agreement (the “Agreement”) before using the https://heylisten.app website (the “Service”) operated by Ursa Minor Ltd. (“Ursa Minor”).
By accessing and using the Service, User indicates their complete and unconditional acceptance of the Agreement. If User disagrees with any part of the License Agreement, then they may not access the Service.
The information contained in the Service is subject to change without notice and does not represent a commitment or contracted obligation on the part of Ursa Minor.
User agrees to use the Service in accordance with the Agreement. Ursa Minor may amend or modify the Agreement at any time.
While in Beta stage, Ursa Minor agrees to provide the Service free of charge. The first 100 Users get all features free of charge until January 31, 2020. At any time and without notice, Ursa Minor reserves the right to modify the terms and conditions of the offer or cancel it.
The Service allows to post, link, store, share and otherwise make available certain information and text (the "Content"). A User is responsible for the Content posted to the Service, including its legality, reliability, and appropriateness.
By posting Content to the Service, User grants Ursa Minor the right and license to use, modify, publicly perform, publicly display, reproduce such Content on and through the Service. User retains all rights to the Content submitted, posted or displayed on or through the Service and responsible for protecting those rights. User agrees that this license includes the right for Ursa Minor to make Content available to other Users of the Service.
User is obligated to provide Ursa Minor with information that is accurate, complete and up-to-date upon creating an account. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of User’s account on the Service.
User is responsible for safeguarding the password that is used to access the Service and for any activities or actions under the password. User agrees not to disclose the password to any third party. User is obligated to notify Ursa Minor immediately upon becoming aware of any breach of security or unauthorized use of the account.
User may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
Ursa Minor respects the intellectual property rights of others. Ursa Minor will respond to any claim that Content posted on the Service infringes the copyright or other intellectual property infringement ("Infringement") of any person.
If you are a copyright owner or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, you must submit your notice to hello@heylisten.app and include a detailed description of the alleged Infringement in your notice.
You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing your copyright.
The Service and its original content (excluding Content provided by Users), features and functionality are and will remain the exclusive property of Ursa Minor and its licensors. The Service is protected by copyright, trademark, and other laws of both Mauritius and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Ursa Minor.
The Service may contain links to third-party web sites or services that are not owned or controlled by Ursa Minor.
Ursa Minor has no control over and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. User acknowledges and agrees that Ursa Minor shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
Ursa Minor may terminate or suspend User’s account immediately, without prior notice or liability, for any reason whatsoever, including without limitation of breaching the Terms.
Upon termination, User’s right to use the Service will immediately cease. If User wishes to terminate their account, you may simply discontinue using the Service.
Ursa Minor disclaims any and all liability for incidental or consequential damages arising out of the use or operation of or inability to use the Service, even if Ursa Minor has been advised of the possibility of such damages. Furthermore, the User indemnifies and agrees to hold Ursa Minor harmless from such claims.
The Service is the property of Ursa Minor. All rights for the Service belong to Ursa Minor. These rights are not transferred as part of this Agreement.
The User may not copy or use the Service in any way, in whole or in part. The User may not modify, reverse engineer, decompile the Service or modify or reproduce the Service documentation.
Ursa Minor is a registered Mauritian company and this agreement is governed by Mauritian laws.
